Partner terms // the rules

These Partner Terms govern your participation in the NOXVEX Partner Program ("Program"). NOXVEX ("we," "us," "our") operates a Telegram-based smart-money signal service and offers an affiliate program for content creators, influencers, and community operators ("Partners").

By applying to and participating in the Program you accept these terms. If you do not agree, do not participate. NOXVEX reserves the right to update these terms at any time with reasonable notice via the platform or email.

Participation is by invitation or approved application only. NOXVEX assigns Partners to one of three tiers based on audience size, engagement quality, and content alignment:

• Community Partner: typically 1k–10k engaged followers. 30% recurring commission.
• Partner: typically 10k–50k engaged followers. 40% recurring commission.
• Pro Partner: major influencer or large channel, 50k+. 50% recurring commission plus L2 upstream commissions.

Tier assignment is at NOXVEX's sole discretion. We may re-tier, suspend, or terminate a Partner's participation at any time if eligibility criteria are no longer met or these terms are violated.

Partners earn a recurring commission on every successful, non-refunded subscription payment made by a referred subscriber using the Partner's unique referral code.

• L1 commission: earned directly on each subscriber you refer.
• L2 commission (Pro Partners only): an upstream commission earned when a KOL you referred converts a subscriber of their own.

Commission rates are as stated in your approval notice and the Partner dashboard. NOXVEX may adjust rates with 30 days' written notice for existing Partners. Rate changes do not apply retroactively to already-matured commissions.

A commission is earned only when the referred subscriber's payment is confirmed and the 7-day maturity hold has elapsed without reversal. Trial activations, refunded payments, and fraudulent transactions do not generate commissions.

• Currency: USDC on the Solana blockchain.
• Schedule: commissions are batched and paid every Monday (UTC).
• Maturity hold: each commission requires a 7-day hold from the date of the underlying payment before it is eligible for payout. This protects against chargebacks and refunds.
• Minimum batch: $25 USD per payout batch. For Partners active within their first 60 days the minimum is reduced to $15.
• Wallet: you must provide a valid Solana wallet address in your application. You are responsible for keeping it current. NOXVEX is not liable for funds sent to an incorrect or abandoned address.

If a subscription is refunded or reversed after a commission has already been paid, that amount may be deducted from a future payout or invoiced to the Partner. Commissions reversed before payout are simply removed from the next batch.

You agree to:

• DISCLOSEDisclose the commercial relationship in every piece of promotional content, in compliance with FTC guidelines (US), CAP Code (UK), and equivalent regulations in your jurisdiction. A clear and prominent label such as "#ad", "Paid partnership", or "affiliate link" is required.
• Promote NOXVEX accurately and not make claims about performance, returns, or profitability that are not supported by documented statistics provided by NOXVEX.
• Keep your referral link and code secure. Do not share your code in a way designed to artificially inflate click-throughs.
• Respond to compliance requests from NOXVEX within 5 business days.
• Notify NOXVEX immediately if your Solana wallet address changes.

The following actions will result in immediate termination and forfeiture of unpaid commissions:

• Self-referral: creating accounts to generate commissions for yourself.
• Cookie stuffing, forced redirects, or any form of fraudulent traffic generation.
• Purchasing traffic or using bots, click farms, or automated tools to inflate referral counts.
• Misrepresenting NOXVEX's service, making financial return guarantees, or using deceptive advertising.
• Promoting NOXVEX on platforms that prohibit financial advertising without proper disclosures.
• Sharing, selling, or transferring your Partner account or referral code to a third party.
• Any conduct that violates applicable law or causes reputational damage to NOXVEX.

Either party may terminate participation in the Program at any time without cause by giving 7 days' written notice.

NOXVEX may terminate or suspend a Partner immediately and without notice for:

• Any violation of Section 06 (Prohibited conduct).
• Fraudulent, abusive, or illegal activity.
• Inactivity (zero referrals for 6 consecutive months), with 30 days' prior notice.

Upon termination, matured commissions not yet paid will be settled in the next scheduled Monday batch. Commissions still within the 7-day hold period are forfeited if termination is for cause. Commissions are forfeited in full on termination for prohibited conduct.

NOXVEX's total liability to any Partner under or in connection with the Program shall not exceed the total commissions paid to that Partner in the three calendar months preceding the claim.

NOXVEX is not liable for: indirect, incidental, or consequential losses; loss of profits or revenue; losses arising from platform outages, Solana network congestion, or third-party payment processor failures.

NOXVEX does not guarantee any level of subscriber conversions, commission volume, or revenue to Partners. Past conversion rates are not indicative of future performance.

These terms are governed by and construed in accordance with applicable law. Any dispute arising under these terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved informally within 30 days, either party may pursue resolution through binding arbitration or the courts of the relevant jurisdiction.
